Aryaa Organic Intellectual Property and Content Use Policy
Effective Date: February 1, 2020

1. Purpose
This policy governs the ownership, use, and management of intellectual property (IP), including images, videos, content, products, meditations, biographies, stories, and photos from trips related to ancient cultures. It supports the mission of Aryaa Organic by ensuring that all IP aligns with Aryaa’s values and is utilized appropriately. This document provides clarity for employees, collaborators, and stakeholders.

2. Scope
This policy applies to all employees, collaborators, contractors, and other individuals contributing to Aryaa Organic’s brand and mission. It is retroactively effective from February 1, 2022, covering all IP created on or after this date.

3. Governing Law
This agreement and policy are governed by the laws of the State of Delaware. Any disputes arising from the enforcement or interpretation of this policy will be subject to Delaware state law.

4. Intellectual Property Rights
All intellectual property created by or on behalf of Aryaa Organic, including but not limited to:

  • Images, Videos, and Media: Photos, videos, graphics, and other media related to Aryaa’s mission, including those featuring employees, collaborators, and cultural sites.
  • Content, Products, and Meditations: Written content, product descriptions, creative concepts, formulas, and meditations (unless agreed upon prior to engagement) produced during engagement with Aryaa.
  • Biographies and Stories: Any personal or professional biography or stories that support Aryaa’s mission.
  • Trips and Experiences: Visual and written content (photos, videos, stories) from Aryaa-organized trips or those supporting its mission.

Aryaa Organic retains full ownership and control over this content, with the right to use, modify, distribute, and repurpose it in support of Aryaa’s mission, unless explicitly agreed upon otherwise prior to the engagement.

5. Implied Acceptance of Policy
By engaging with Aryaa Organic, either formally or informally, it is understood that all employees, collaborators, and contributors implicitly accept and agree to abide by this policy. This understanding is valid unless an alternative agreement has been explicitly made and documented prior to the engagement.

6. Use of Images and Media Involving Employees or Collaborators
Photographs, videos, and other visual representations involving employees or collaborators captured during their engagement with Aryaa Organic may be used for marketing, promotional, or internal purposes, as long as such use does not violate any legal usage rights, including privacy, publicity, or celebrity protections.

7. Changes to Titles and Attributions
Aryaa Organic reserves the right to modify the titles, attributions, and descriptions of any content or IP to reflect changes in circumstances, such as an employee’s departure or new developments, without altering the core mission of the content.

8. Use of Content
The IP created for Aryaa Organic can be used in:

  • Marketing and Advertising: Aryaa Organic may use content in digital marketing, social media, print, and online ads to further its mission and branding.
  • Internal Use: Content can be used for training, documentation, or internal storytelling that supports Aryaa’s goals.
  • External Distribution: Aryaa reserves the right to share content across various platforms, channels, and media outlets to spread awareness of its mission and products.

9. Consent and Understanding
By entering into an employment, collaboration, or contractual relationship with Aryaa Organic, individuals agree to the terms set forth in this policy, including the implied acceptance clause. This policy will be made available to all relevant parties and is a prerequisite for collaboration.

10. Retroactive Application
This policy is retroactively effective from February 1, 2022, and applies to all intellectual property and content created for Aryaa Organic from that date forward.

11. Termination of Employment or Engagement
In the event of termination of employment or collaboration, Aryaa Organic retains all rights to IP created during the period of engagement. Aryaa may continue to use, repurpose, and distribute this content without additional consent, subject to the terms outlined herein.

12. Confidentiality and Non-Disclosure
Any sensitive or proprietary information related to Aryaa Organic, including trade secrets, formulas, business plans, or other confidential information, shall remain protected under a confidentiality agreement. Any unauthorized sharing of such information is strictly prohibited and may be subject to legal action.

13. Moral Rights and Attribution
Aryaa Organic will respect the moral rights of creators where applicable. However, attribution may be altered or omitted as necessary for branding or mission alignment purposes. Should content involve a collaborative effort, Aryaa reserves the right to attribute the content to Aryaa Organic as a collective entity.

14. Dispute Resolution
Any disputes arising from the enforcement or interpretation of this policy will be resolved in accordance with the laws of the State of Delaware, through mediation or legal action, as necessary.

15. Acceptance of Terms
By participating in or contributing to Aryaa Organic, individuals acknowledge that they have read, understood, and accepted this Intellectual Property Policy, which governs all content and IP created in relation to Aryaa’s mission and brand.
